The basis of organization as stated in the Articles of Incorporation is as follows:
Article VI Basis of Organization
A. This corporation shall be organized without capital stock and membership shall be evidenced by a membership card (when practical) and enrollment on the books of the corporation.
B. Membership shall be either individual or organizational:
1. Any individual, world-wide, who supports the purposes and principles of this Foundation is eligible for membership:
2. Any representative membership organization incorporated or based in United States, other than a political party, which supports the principles and purposes of this Foundation may likewise become a member.
C. Membership, either individual or organizational, is subject to approval or review by the Board of Directors on the basis of loyalty to the purposes and principles of this Foundation.
The eleven core officers of the Louisiana Diabetes Foundation, Inc. are:
The board of directors of the Louisiana Diabetes Foundation, Inc. consists of eighteen board members from nine geographic district (two from each district), six industry board members (three appointed by the board of directors, and three appointed, one each, by the Chairperson, President, and the Chief Executive Officer), and the Chief Executive Officer, making a total board of director size of twenty-five members. The Chairperson is the presiding officer.
The executive committee consists of five members; Chairperson, Chairperson Elect, President, President Elect, and Chief Executive Officer. All executive committee members remain members of the board of directors and representatives of their districts while serving on the executive committee. The President is the presiding officer.
